TERMS AND CONDITIONS

SILVER SLEEPOVER (the “Giveaway”):  Giveaway Terms + Conditions (“Official Rules”)
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THIS GIVEAWAY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.
By participating, you (“Participant(s)”) agree to these Official Rules. This Giveaway is in no way sponsored, endorsed or administered by, or associated with, Instagram, Facebook, Line or any other social media site. Any questions, comments or complaints regarding the Giveaway must be directed to the Sponsor (as defined herein), not any other social media site.  
SPONSOR: Standard International Management, LLC, a limited liability company organized in the State of Delaware, United States of America with its principal place of business located at 23 E 4th Street, 5th Floor, New York, NY 10003, USA (“Sponsor”).
ELIGIBILITY: The Giveaway is open to
a.Legal residents of the fifty United States, the District of Columbia and Puerto Rico (“US”), who are at least 21 years old at the time of entry; and
b.Legal residents of Great Britain (England, Scotland and Wales only, excluding Northern Ireland) (“UK") who are at least 18 years old at the time of entry; and
c.Legal residents of the Kingdom of Thailand who are at least 18 years old at the time of entry.

Employees, officers and contractors of (1) Sponsor and (2) the parent companies, affiliates and subsidiaries of the Sponsor (collectively, "Affiliates"), and their immediate families (defined as (i) regardless of where they reside, parents, children, siblings and spouse, and/or (ii) those living in the same household with anyone listed in clause (i)) are not eligible to participate.
PRIZE: Winner will receive the below:
•One night at a Standard-branded flagship hotel (“Participating Hotel(s)”) of your choice at $25.00 USD (the “Prize”) (Value up to $599.00).
HOW TO ENTER: Participants may enter the Giveaway from May 1, 2024 through May 25, 2024 (the “Giveaway Period”).  To participate, Participants must enter their names, phone numbers, emails, and other required information at [THE ADDRESS OF MICROSITE] during the Giveaway Period. At the time of entry, Participants must also choose one from the following list of Participating Hotels (“Choice”):
•The Standard, Maldives
•The Standard, East Village, NYC
•The Standard, Ibiza
•The Standard, Bangkok
•The Standard, Miami Beach
•The Standard, London
•The Standard, High Line, NYC
•The Standard, Hua Hin
All  entries must be received by May 25, 2024.  Limit of one entry per person and each winner will be limited to one prize. Sponsor is not responsible for any lost, late, delayed or misdirected entries. Incomplete or late entries will be disqualified without any notice to Participants.
WINNER: Twenty-five winners for the Prize will be selected on May 28, 2024, at Sponsor’s address above based on a random drawing of all eligible entries received (the “Winner(s)”). Participants will be grouped based on their Choice, and three Winners will be selected from each group to win the Prize at the Participating Hotel of their Choice (except for [THE NAME OF PARTICIPATING HOTEL TO HAVE FOUR WINNERS] which will have four Winners).
WINNER NOTIFICATIONS: The Winners will be notified on or about May 28, 2024 via email, and/or phone.  Participants are responsible for notifying the Sponsor of changes in their contact information. Winners must reply to the winner notification e-mail and/or phone call within 72 hours in order to receive their Prize. If a Winner cannot be reached or does not accept the Prize within 72 hours of notification, the Prize will be forfeited and an alternate Winner for the Prize will be selected at random from the same Choice group as the Winner who forfeited the Prize. Odds of winning will depend on the number of entries per each Choice.  
Winner will be required to sign any further documentation required by Sponsor in accordance with these Official Rules. Prizes will be awarded within 3 90 days of receipt of all of notifications and Sponsor’s receipt of required documentation from the Winner.  
TAX IMPLICATIONS: All taxes on the Prize are the sole responsibility of the Winner.  The Sponsor reserves the right to withhold taxes or other payments as it deems necessary to comply with applicable law. Winner may be required to provide Sponsor with their information for tax purposes. For US-based Winners, the Internal Revenue Service requires Form 1099-MISC (or successor form) to be issued and filed for any recipient who receives a prize if the annual aggregate value of the prize received is $600 or more. Sponsor will issue a Form 1099-MISC (or successor form) to any US-based Winner for the total fair market value of the Prize received; such fair market value may be greater than the approximate retail value of the Prize described above.
RESTRICTIONS: Hotel stays may be subject to certain other restrictions, including without limitation blackout dates and must be used by December 31, 2024. The estimated retail value of the Prize is set forth above. Actual value may vary based on various factors, including fluctuations in currency conversion rates, special promotions and the price for accommodations. Unless otherwise stated above, airfare or other travel, ground transportation, meals, in-room or other personal charges at lodging (e.g., mini-bar, movies), telephone calls, gratuities, incidentals, and all other expenses are NOT included in the Prize.  Hotel bookings cannot be canceled or transferred. Any no-shows will be credited against the Prize. The Prize is not redeemable for other products, services or monetary value and any portion of the Prize that is not used is forfeited. Winner will be required to provide a valid photo identification and, if the Prize includes a hotel stay, for any incidental charges, a credit card at the time of check-in. Travel companions must be 18 years of age or older as of the date of check-in and may be required to provide valid photo identification. A Prize may not be assigned or transferred.
Any violation of Standard’s policies, any lack or payment for hotel incidentals, or any reasonable suspicion of engagement in any illegal behavior, in Sponsor’s or Participating Hotel’s sole discretion, may result in Winner’s reservation and its travel companion’s hotel reservation being canceled and/or forfeiture of their Prize.  Any public statements disparaging, inaccurate or reflecting negatively on any Participating Hotel, Sponsor or its brand or Affiliates may also result in cancellation of their Prize.  
RELEASE: By entering the Giveaway, Participants agree, to the fullest extent permitted under applicable law, to release, forever discharge and hold harmless Sponsor and any social media outlets (including Facebook, Line and Instagram) and its and their respective affiliates, advertising and promotional agencies, and each of their owners, directors, officers, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, damages, losses, liabilities, injury or loss to person or property, costs and expenses, suffered by the Released Parties, arising from or relating to Participant’s participation in the Giveaway, Participant’s acceptance, use or misuse of the Prize (including by Winner’s travel companion), or Sponsor’s use of the entry and Instagram Post, including, without limitation, any claims based on defamation, violation of publicity rights, privacy rights, personality rights, moral rights, or intellectual property rights, including copyright infringement and trademark infringement.
CONDITIONS OF ENTRY: General Rules: By participating in this Giveaway, Participants agree to be bound by these Official Rules and the decisions of Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Giveaway, violates the Official Rules, or acts in an un-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Giveaway if it is not capable of running as planned. Acceptance of any portion of a Prize constitutes permission to use a Winner’s name, likenesses and image for promotional purposes without further compensation, except where prohibited by law. Winner information and personal information collected from each Participant will only be available to Sponsor and its Affiliates and, as applicable, Participating Hotel.

ELIMINATION: Any false information provided for the Giveaway by any Participant or non-compliance with these Official Rules may result in Participant’s elimination from the Giveaway.
PRIVACY: Participants agree that personal data including, but not limited to, name, phone number and email address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the Giveaway, and to verify a Participant’s identity in the event a Participant wins a Prize. If a Participant does not provide the required data when requested, then Participant’s entry may be ineligible for a Prize.  Except as described in these Official Rules, all information provided will be maintained in accordance with the Sponsor’s Privacy Policy available at https://www.standardhotels.com/privacy-policy.
DISCLOSURE OF WINNER’S INFORMATION: By entering this Giveaway, each Participants acknowledges that in the event of a win their surname and county of residence may be disclosed to persons enquiring, only where permitted by law. Any Participant may object to their information being made available in this way, or may request that the amount of information made available be reduced, by contacting the Sponsor using the contact details below. In these circumstances, the UK-based Participants acknowledges that the Sponsor may nevertheless disclose the relevant information to the UK’s Advertising Standards Authority if required to do so.  To request disclosure of  the Winners’ details, enquirers must submit a request to DPO@standardhotels.com within one (1) month from the close of the Entry Period. Details will only be disclosed (if permitted by law) after the Prize has been validly claimed.
INTERNET: No responsibility is assumed for error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the internet, or at any website or any combination thereof. Sponsor is also not responsible for any injury or damage to Participant’s or any other person's computer related to or resulting from participating in or downloading any materials for the Giveaway. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE THE LANDING PAGE OR SPONSOR’S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SPONSOR BY THREATENING HOTEL STAFF OR ANY OTHER POSSIBLE REASON IS A VIOLATION OF CRIMINAL & CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to withdraw and cancel the Giveaway if it becomes technically corrupted (including if a computer virus or system malfunction impairs its ability to conduct the Giveaway) or for any other external reason.
JURISDICTION: The Giveaway shall be governed by and interpreted in accordance with the laws of the United States, Great Britain, and The Kingdom of Thailand applicable to promotions at Sponsor’s sole election. The Winners agree that the invalidity or enforceability of any part of any document shall in no way affect the validity or enforceability of any of the remainder of that document.
